1. Acceptance of Terms

By accessing or using TriStar Planroom (“the Service,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Service.

TriStar Planroom reserves the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Description of Service

TriStar Planroom provides access to aggregated public project information, bid opportunities, addenda notices, documents, and related construction procurement data (“Content”). This Content is sourced from public websites, agencies, institutions, and other third-party entities.

TriStar Planroom is not the official plan holder unless explicitly stated and does not issue solicitations, bid invitations, or official addenda.

3. No Warranty; User Verification Required

TriStar Planroom does not independently verify the accuracy, completeness, or timeliness of any Content. Information may be outdated, incorrect, incomplete, or unavailable at times.

You agree that:

  • You must verify all project information directly with the issuing agency or owner.
  • You will not rely solely on TriStar Planroom for bidding decisions.
  • You assume full responsibility for reviewing official documents, addenda, instructions, deadlines, and requirements.

TriStar Planroom is not liable for missed addenda, deadlines, clarifications, bid openings, or changes to project information.

4. User Accounts

Users may be required to create an account to access portions of the Service.

You agree to:

  • Provide accurate registration information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activity under your account
  • Notify us immediately of unauthorized access

Accounts may not be shared outside your organization unless your subscription plan explicitly allows multiple users or “seats.”

TriStar Planroom may suspend or terminate accounts at its discretion.

5. Subscription Plans and Payments

Certain features require a paid subscription.

By subscribing, you agree to:

  • Provide accurate billing information
  • Authorize recurring charges unless canceled
  • Pay all fees associated with your plan
  • Understand that fees are non-refundable unless stated otherwise

If payment fails or your subscription lapses, access to paid features will be suspended.

Pricing may change with prior notice.

6. Prohibited Uses

You agree not to:

  • Scrape, download, harvest, or mass-copy data without authorization
  • Republish, resell, or redistribute planroom data
  • Bypass access controls, login systems, or subscriptions
  • Reverse engineer or interfere with the Service
  • Upload harmful content, malware, or unauthorized materials
  • Misrepresent affiliation with any project owner, agency, or authority

TriStar Planroom may block or remove users violating these rules.

7. Content Ownership & License

All content, branding, software, layout, compilations, and design elements are the property of TriStar Planroom or licensed third parties.

Users receive a limited, non-transferable, non-exclusive license to view Content for bidding and informational purposes only.

You may not modify, distribute, or reproduce Content except as permitted under your subscription.

8. Third-Party Websites & Documents

The Service may link to external websites, document repositories, or procurement portals.

TriStar Planroom is not responsible for:

  • Third-party content
  • Broken or inaccessible links
  • Removed or updated project documents
  • Delays or errors in external systems

Access to third-party sites is at your own risk.

9. Disclaimers

The Service and Content are provided “as is” and without warranties of any kind, including but not limited to:

  • Accuracy
  • Completeness
  • Reliability
  • Timeliness
  • Availability

TriStar Planroom expressly disclaims any liability for damages or losses arising from:

  • Missed deadlines or addenda
  • Incorrect or incomplete project data
  • Use of or reliance on any Content
  • Software errors, outages, or downtime

10. Limitation of Liability

To the fullest extent permitted by law, TriStar Planroom is not liable for:

  • Direct, indirect, incidental, consequential, or punitive damages
  • Loss of profits, bids, contracts, opportunities, or revenue
  • Business interruption or data loss
  • Errors, omissions, or delays in Content delivery

Your sole remedy for dissatisfaction with the Service is to discontinue use.

11. Indemnification

You agree to indemnify and hold harmless TriStar Planroom, its owners, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Any bid decisions made based on Content
  • Your posting or submission of information

12. Termination

TriStar Planroom may suspend or terminate access at any time for violations, non-payment, or misuse. Termination does not relieve you of outstanding payment obligations.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflicts of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming.
